To the fullest extent permitted by law, this Corporation shall choose to indemnify and hold harmless each person who has served or shall hereafter serve as a EOM (Member of the Board) of the Church Corporation from and against any and all claims and liabilities to which such person shall have or may become subject by reason of having heretofore or hereafter been a EOM of the Church or by reason of any action alleged to have been heretofore or hereafter taken or omitted by a EOM, and shall reimburse each such person for all legal and other expenses actually and necessarily incurred in connection with the defense of any threatened, pending, or completed action, suit or proceeding (including actions by or in right of the Corporation to procure a judgment in its favor); provided, however, that no such person shall be indemnified against, or be reimbursed for any expense incurred in connection with, any claim or liability arising out of gross negligence or willful misconduct in the performance of duty. The rights accruing to any person under the foregoing provisions of this Article shall not exclude any other right to which they may be lawfully entitle, nor shall anything herein contained restrict the right of the Church Corporation to indemnify or reimburse any person in any proper case even though not specifically herein provided for, and the Corporation may purchase and maintain insurance for the purpose of indemnification on behalf of any or all persons to the full extent permitted under applicable law. The Church Corporation, its EOM Board Members, Officers, employees and agents, shall be fully protected in taking any action or making any payment under this Article, or in refusing to do so, in reliance upon the advice of counsel.
ARTICLE XVI: (INDEMNIFICATION OF TRUSTEES) (No Changes)
